Terms of Service

1. Acceptance of Terms

By accessing or using Kovergence (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

We may update these Terms at any time. We will notify you of significant changes via email or an in-app notice. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

2. What Kovergence Is

Kovergence is an online marketplace based in Nigeria that connects music clients (individuals and businesses looking to hire music talent) with music creatives (producers, vocalists, sound engineers, DJs, mixing engineers, and other music professionals).

We provide the technology platform, booking infrastructure, messaging tools, and a Beat Store where producers can sell beat licenses. We are not a party to any agreement between a Client and a Creative — we facilitate the connection, but the service relationship is directly between the two parties.

3. Accounts

You must be at least 18 years old to create an account. By registering, you confirm that the information you provide is accurate and that you will keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at info@kovergence.com.

You may not create more than one account per person, or create an account on behalf of another person without their consent.

4. User Roles

Clients

Clients use the Platform to discover, contact, and book music creatives for sessions, collaborations, and other music services. Clients can also purchase beat licenses from the Beat Store.

Creatives

Creatives list their services, set their availability, accept booking requests, and receive payments for completed sessions. Producers can also upload beats to the Beat Store for licensing.

5. Prohibited Conduct

You agree not to:

• Provide false information or impersonate another person or entity.
• Use the Platform for any unlawful purpose or in violation of Nigerian law.
• Harass, threaten, or abuse other users.
• Attempt to circumvent the Platform by taking transactions off-platform to avoid fees — this undermines the sustainability of Kovergence and is a violation of these Terms.
• Upload content (beats, portfolio items, profile photos) that you do not have the rights to, or that infringes any copyright, trademark, or other intellectual property rights.
• Use automated tools, bots, or scrapers to access the Platform without our written permission.
• Attempt to access, interfere with, or disrupt the Platform's infrastructure or security.

6. Bookings & Creative Services

When a Client submits a booking request and a Creative accepts it, a service agreement is formed directly between those two parties. Kovergence facilitates the transaction but is not responsible for the quality, delivery, or outcome of the services provided.

Payment for bookings is processed through Paystack. Funds are collected by Kovergence and disbursed to the Creative upon confirmation that payment has been received, subject to our platform fee (see Section 8).

Clients and Creatives are encouraged to clearly communicate session expectations, deliverables, and timelines before confirming a booking. Any disputes arising from a session are primarily the responsibility of the parties involved. Kovergence may assist in mediation but does not guarantee resolution.

7. Beat Store

Producers may upload beats to the Kovergence Beat Store and offer them for licensing under Basic, Premium, or Exclusive tiers. By uploading a beat, you confirm that you own or control all rights to that beat, including any samples used.

When a buyer purchases a beat license, they receive the rights described in the license tier they selected. Kovergence generates a license document at the time of purchase and delivers the audio files to the buyer via a secure download link.

Exclusive licenses — once an exclusive license is purchased, the beat is removed from the store. It may no longer be sold to other buyers.

Download links are valid for a maximum of 5 downloads per purchase. If you experience issues downloading, contact us and we will assist.

Refunds: all beat purchases are final. We do not offer refunds on digital music licenses after purchase, except in cases of proven technical failure to deliver the files.

8. Platform Fee

Kovergence charges a 15% platform fee on beat sales. This fee is deducted from the producer's payout — the buyer pays the listed price in full, and the producer receives 85% of that amount. The fee covers payment processing, infrastructure, and platform maintenance.

Fees for booking-related services will be communicated clearly within the Platform and may be updated from time to time with reasonable notice.

9. Payments

All payments on Kovergence are processed in Nigerian Naira (NGN) through Paystack. By making a payment, you also agree to Paystack's terms of service.

We are not responsible for payment failures or delays caused by your bank, card issuer, or Paystack. If a payment is not confirmed within a reasonable time, our system automatically reconciles the transaction with Paystack to resolve any discrepancy.

10. Intellectual Property

You retain ownership of any content you upload to Kovergence — beats, portfolio items, photos, and written descriptions. By uploading content, you grant Kovergence a non-exclusive, royalty-free licence to display and use that content solely for the purpose of operating and promoting the Platform.

The Kovergence name, logo, design, and underlying technology are the intellectual property of Kovergence and may not be reproduced or used without our written permission.

11. Disclaimers

Kovergence is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Platform will be error-free, uninterrupted, or free of harmful components.

We do not verify the qualifications, skills, or identity of Creatives beyond the information they provide. Clients are responsible for conducting their own due diligence before booking a Creative.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Kovergence and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Platform, including but not limited to lost revenue, lost data, or disputes between users.

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Kovergence in the three months preceding the claim.

13. Termination

You may close your account at any time by contacting us. We reserve the right to suspend or permanently terminate your account if you violate these Terms, engage in fraudulent activity, or take actions that harm other users or the Platform.

Upon termination, your right to access the Platform ends immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms or your use of Kovergence shall be subject to the exclusive jurisdiction of the courts of Nigeria.
